Hardware : We do not manufacture the Hardware and we supply the Hardware as is and without any warranty from us. You must promptly install any Fix or Fresh Release which we notify you of, as applicable, at each Site where the Software or the applicable module of the Software is used you. Acceptance : Upon completion of installation of the System at the Site IS will inform Customer and subject to the System operating in accordance with its published specifications the System will be deemed accepted by Customer. Change of Control means the happening of circumstances or events following which a person (as defined in the Corporations Act) becomes Controlled by another person, alone or together with any associates, who did not previously Oversee that person. Customer Software means any software supplied by Customer which operates on the System. Services means any service described in a Sales Order. 1.1 The terms of this Agreement apply in every case where Metcash provides goods or services of any kind (Goods) to the customer (as referred to in the Application for Trading Account or if there is no application, the customer placing the order, or on whose behalf the order is placed) (Customer) on the Customer’s trading account (Trading Account), unless otherwise agreed in writing between Metcash and the Customer. 7.1 All Goods purchased by the Customer are at the risk of the Customer from the time the Goods are delivered to the Customer or its nominated agent. 15.11 As between the Guarantor and Metcash the Guarantor is to be deemed to be a primary debtor to Metcash autonomous of the Customer. 16.1 Time is to be of the essence so far as it relates to the Customer’s obligations to Metcash below this Agreement.
